1. Acceptance of Terms
By accessing or using the waai platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
waai provides a WhatsApp AI agent platform that enables businesses to automate customer conversations via WhatsApp. The Service includes an AI-powered auto-responder, knowledge base management, logic flow builder, analytics, and integrations with third-party services.
3. Account Registration
To use the Service, you must register an account and provide accurate, complete, and current information. You are responsible for safeguarding your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. Subscription Plans and Billing
The Service offers subscription plans with varying features and usage limits. Plan details and pricing are available on our pricing page. By subscribing to a paid plan, you agree to pay the applicable fees. Fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly set forth in these Terms. You may upgrade your plan at any time; upgrades take effect immediately with a prorated charge for the remainder of your current billing cycle, and you may switch between monthly and annual billing on the same plan. Downgrades to a lower-tier plan are not available through self-service — if you need a lower plan, please contact us at info@waai.me and we will assist you.
You may cancel your paid subscription at any time from within the Service. Cancellation takes effect at the end of your current billing period, after which your account reverts to the trial plan. No refunds are issued for cancelled subscriptions, including for any unused months remaining on an annual plan or the unused portion of a billing period. Cancelling a subscription does not delete your account or data — your account returns to the trial plan and your data is retained until you delete your account yourself or it is removed under our inactive-account policy described in Section 10.
5. Acceptable Use
You agree not to use the Service to: (a) send spam or unsolicited messages; (b) impersonate any person or entity; (c) violate any applicable law or regulation; (d) transmit any material that is defamatory, obscene, or otherwise objectionable; (e) interfere with or disrupt the Service; or (f) use automated means to access the Service in a manner that exceeds reasonable use.
In addition, you must not use the Service, or allow or assist any third party to use the Service, in connection with any of the following (each, a "Prohibited Use"): (a) gambling, betting, lotteries, or any other gaming activity, including online or remote gambling; (b) pornography, sexually explicit content, escort services, or other adult content or services; (c) illegal drugs, controlled substances, or drug paraphernalia, or the promotion of recreational drug use; (d) weapons, ammunition, or explosives; (e) prostitution, human trafficking, or exploitation; (f) money laundering, terrorist financing, or other financial crime; (g) fraud, scams, phishing, or other deceptive practices; (h) the offer or sale of counterfeit or pirated goods; or (i) any other vice, illegal, or harmful activity that we reasonably determine to be detrimental to the Service, our users, or our reputation.
If we determine, in our sole discretion, that you have engaged in any Prohibited Use, we may terminate or suspend your account and your subscription immediately, without prior notice and without any refund (including for any unused portion of your subscription or current billing period), and you will remain liable for all fees accrued. We may also preserve and disclose information, and report such activities to the relevant authorities, where required by law or where we reasonably deem it necessary.
6. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. You retain ownership of all data you submit to the Service. You are responsible for ensuring that your use of the Service complies with applicable data protection laws, including GDPR where applicable.
7. Third-Party Services
The Service may integrate with third-party services, including WhatsApp (Meta), Google Workspace, and AI providers. Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.
8. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of waai and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without prior written consent.
9. Limitation of Liability
In no event shall waai, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, or other intangible losses, resulting from your access to or use of (or inability to access or use) the Service.
10. Termination
You may delete your account at any time from your account settings. Accounts on the trial plan that remain inactive for six continuous months — meaning no sign-ins to the Service and no conversations handled by your agent during that period — may be automatically deactivated and permanently deleted, including all associated data. This policy applies only to accounts on the trial plan; accounts with an active paid subscription are not affected. Where practicable, we will attempt to notify the account owner before an account is deleted for inactivity.
We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we determine, in our sole discretion, violates these Terms or is harmful to other users, us, or third parties, or for any other reason. Upon termination, your right to use the Service will immediately cease.
11. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
